1. Acceptance of Terms

By accessing or utilizing the infrastructure, API connectors, or automated systems provided by OrynthBridge Technologies Ltd. ("the Service"), you agree to be bound by these Terms and our Data Processing Addendum (DPA). These Terms constitute a legally binding agreement between OrynthBridge and the legal entity you represent.

2. Technical Eligibility & Authority

The Service is intended for professional enterprise use. By accessing the Service, you represent and warrant that you possess the legal authority to bind your organization to these Terms and that your use of our infrastructure complies with all applicable regional technical regulations.

3. Infrastructure Access & Security

You are responsible for maintaining the security of your API keys, account credentials, and integration endpoints. OrynthBridge shall not be liable for any data breach or system compromise resulting from the failure to secure your local environment or credentials. You must notify us immediately of any suspected unauthorized access to your integration layer.

4. Acceptable Use Policy

Users are prohibited from:

  • Utilizing the Service for any purpose that violates international law.

  • Engaging in reverse-engineering of the OrynthBridge core logic or proprietary middleware.

  • Deploying automated scripts that interfere with the integrity, stability, or performance of our multi-tenant infrastructure.

  • Attempting unauthorized access to the underlying server architecture of the Service.

5. Deployment & Service Fees

Access to specific enterprise features, high-throughput API tiers, or custom infrastructure builds requires the payment of fees as outlined in your specific Service Order. All fees are quoted in USD and are non-refundable. OrynthBridge reserves the right to adjust infrastructure pricing with a 30-day notice period for recurring subscriptions.

6. Intellectual Property & Code Ownership

All proprietary software, system architecture, "signature" logic, and technical documentation remain the exclusive property of OrynthBridge Technologies Ltd. You are granted a limited, non-transferable license to utilize our APIs and tools solely for the internal operational needs of your business. Any custom code developed by OrynthBridge for a client remains our IP unless a separate "Work for Hire" agreement is executed in writing.

7. System Termination & Offboarding

We reserve the right to suspend or terminate infrastructure access immediately, without notice, if we detect activity that threatens the security of our global ecosystem. Upon termination, your right to use the API and access the Service will cease immediately.

8. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis. While we strive for 99.9% uptime, OrynthBridge makes no warranties, expressed or implied, regarding the continuous availability of the Service or its fitness for a particular niche system requirement.

9. Limitation of Liability

To the maximum extent permitted by the laws of the Marshall Islands, OrynthBridge Technologies Ltd. shall not be liable for any indirect, incidental, or consequential damages—including but not limited to loss of data, system downtime, or business interruption—arising from the use or inability to use our infrastructure.

10. Modifications to Infrastructure Terms

As our systems evolve, we may update these Terms. Continued use of the Service following the "Last Updated" date constitutes your acceptance of the evolved technical and legal framework.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of the Marshall Islands, without regard to its conflict of law provisions. Any disputes shall be settled in the courts of Majuro, Marshall Islands.
